WEB DESIGN AND DEVELOPMENT AGREEMENT

THIS AGREEMENT is made and entered into as of this date, July 8, 2023 (the “Effective Date”), by and between Artist Resource Network, hereinafter referred to as "Developer", and Nova Han Productions, hereinafter referred to as "Client".

1. SERVICES

Developer agrees to design and develop a website (the "Website") for the Client based on the specifications provided by the Client and in accordance with the timeline established in this Agreement.

2. SCOPE OF WORK

2.1 Developer will create a website based on the structure and layout of the website https://thinkwellgroup.com, with stylistic modifications as discussed between the parties.
2.2 Developer will optimize the Website for speed, including but not limited to the implementation of proper hosting, file optimization, clean and optimized code, CDN, and modern best practices.
2.3 Developer will create a user-friendly environment for updates, providing the Client with the necessary tools and systems to update content as needed.

3. COMPENSATION

The Client will pay Developer a fee of $3000 to $5000, with the exact amount to be agreed upon following further discussions and specifications.
The Developer will optionally provide hosting services at the rate of $25 per month or $250 per year.

4. TIMELINE

Upon receipt of all necessary content from the Client, Developer estimates a completion time of approximately two weeks. The exact timeline will be determined following further discussion between the parties.

5. RELATIONSHIP WITH SEO COMPANY

Developer will cooperate and coordinate with the Client's designated SEO company to ensure the best possible optimization of the Website.

6. OWNERSHIP

Upon receipt of final payment, ownership rights of the final Website design and development work will be transferred to the Client.

7. MAINTENANCE AND SUPPORT

Developer will provide support and maintenance services at no cost for 90 days. After 90 days a separate agreement or as otherwise agreed upon by the parties.

8. CONFIDENTIALITY

Developer agrees that all material and information provided by the Client is confidential and will not be disclosed to third parties without the Client's written permission.

This Agreement is subject to the laws of the jurisdiction in which Developer resides.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first above written.
